These Terms and Conditions ("T&Cs") apply to all services provided by Elisabeth Gueniat ("we," "us," or "our"), operating under the individual business name Boutique Gueniat, through the website www.productmarketer.eu ("Website") and any associated communications or deliverables.

3. Pricing and Payment

  • Pricing: All service fees are provided in writing and are exclusive of VAT unless stated otherwise. Payments must be made in Swiss Francs (CHF) or Euros (€), as specified in the proposal or invoice.

  • Payment Terms: Payment is due within 14 days of receiving the invoice unless otherwise agreed.

  • Late Payments: Late payments may incur a 5% penalty fee per month of the outstanding balance.

4. Refund Policy

  • Service Guarantee: If we fail to meet the agreed-upon conversion improvement target, you are entitled to a full refund of the service fee, subject to the conditions outlined below.

  • Conditions for Refund:

    • The client must attend all scheduled meetings on time.

    • The client must provide required documentation, data, or resources within two (2) business days of the request.

    • The client must implement agreed-upon strategies and recommendations in a timely manner.

    • Refunds are void if delays or failures to implement arise due to client actions, inactions, or third-party interference.

  • Exclusions: Refunds will not be provided in cases where the client modifies or fails to implement agreed-upon strategies or deliverables without prior consultation with us.

5. Intellectual Property

  • All materials, frameworks, and deliverables provided during our engagement are the intellectual property of Boutique Gueniat unless explicitly transferred in writing.

  • You are granted a non-exclusive, non-transferable license to use the deliverables for your business purposes only.

  • Unauthorized sharing, reproduction, or distribution of our materials is prohibited.

  • Case Studies and Portfolio Use: With the client’s prior written consent, Boutique Gueniat may use the work completed during the engagement for case studies and portfolio examples with or without disclosing the name of the client, depending on the agreement. No confidential or proprietary information will be disclosed without explicit permission.

6. Limitation of Liability

  • We are not liable for any indirect, consequential, or incidental damages resulting from the use of our services.

  • Our total liability, whether in contract or tort, is limited to the total amount paid for the services provided.

  • We are not responsible for issues arising from factors outside our control, such as third-party tools, market conditions, or client implementation delays.

  • Revenue Disclaimer: We do not guarantee any specific revenue outcomes. Boutique Gueniat is not liable for any decrease in revenue, profits, or business performance occurring during or after our collaboration, regardless of implementation success or market conditions.

7. Client Responsibilities

To ensure the success of our collaboration, clients must:

  • Provide timely access to required information and resources.

  • Implement strategies and recommendations as outlined.

  • Maintain open and clear communication throughout the engagement.

  • Avoid delays in providing necessary feedback, documentation, or approvals to ensure timely project completion.

8. Confidentiality

Both parties agree to maintain the confidentiality of all shared information during and after the engagement period. This includes, but is not limited to, trade secrets, business strategies, and proprietary data.

9. Governing Law and Jurisdiction

These T&Cs are governed by the laws of Switzerland. Any disputes arising from these T&Cs shall be subject to the exclusive jurisdiction of the courts in Lausanne, Switzerland.

10. Modifications

We reserve the right to modify these T&Cs at any time. Changes will be communicated via the Website, and continued use of our services constitutes acceptance of the updated terms.
